In a major consolidation move within the U.S. shale sector, Viper Energy Inc., the mineral and royalty subsidiary of Diamondback Energy Inc., has agreed to acquire Sitio Royalties Corp. in an all-stock transaction valued at approximately $4.1 billion, including debt. This deal strengthens Viper's position as a leading publicly traded mineral rights owner, particularly in the Permian Basin, while also expanding its footprint into other key shale regions.
Key Details of the Deal
Viper will issue 0.4855 shares of a newly formed holding company for each Sitio share, along with equivalent units in Viper's operating subsidiary.
The transaction includes around $1.1 billion of Sitio's net debt.
Post-acquisition, Diamondback Energy will retain a 41% stake in Viper.
Viper also announced a 10% increase in its quarterly base dividend, raising it to 33 cents per share.

Enhanced Scale & Permian Focus: The acquisition adds 34,300 net royalty acres across major U.S. shale plays, with about 50% overlapping Viper's existing Permian assets.
